Corporate Governance Lead Officer

About the role

IDB Invest is seeking a Corporate Governance Lead Officer to provide senior‑level expertise on corporate governance (CG) across its portfolio. The role will support the design, implementation and monitoring of CG practices to ensure financed projects comply with IDB Invest policies and international best practices.

Key responsibilities

• Provide strategic, senior‑level technical expertise on CG and conduct assessments of IDB Invest operations.
• Identify governance weaknesses and recommend corrective actions.
• Review and appraise proposed operations for compliance with IDB Invest CG Guidelines.
• Develop and deploy technical assistance, new CG procedures, tools and products as needed.
• Draft client‑action recommendations and integrate them into financing documentation.
• Monitor CG performance of portfolio operations and mobilize support to improve governance outcomes.
• Coordinate closely with other IDB Invest and IDB Group teams to achieve CG objectives.

Required profile

• Senior‑level experience in corporate governance, ESG or risk management within the financial sector.
• Strong knowledge of international CG standards and best practices.
• Proven ability to work with boards, senior management and investment officers.
• Excellent analytical and communication skills to develop guidelines and recommendations.
