Corporate Governance Lead Officer

About the role

The Corporate Governance Lead Officer will support the design and implementation of IDB Invest’s operations, ensuring that financed projects comply with internal policies and internationally recognised corporate governance best practices. Working within the Environmental, Social & Governance (ESG) Division of the Risk Management Department, the officer will collaborate with investment teams and client boards to strengthen governance and enhance sustainability impact across Latin America and the Caribbean.

Key responsibilities

• Provide strategic, senior‑level technical expertise on corporate governance (CG) and conduct CG assessments for IDB Invest operations.
• Review and appraise proposed operations for compliance with IDB Invest’s CG Guidelines.
• Develop and deploy technical assistance, new CG procedures, tools and products as needed.
• Formulate recommendations and requirements for client actions and integrate them into financing documentation.
• Monitor CG performance of portfolio operations and mobilise support to improve governance outcomes.
• Coordinate with other IDB Invest and IDB Group teams to ensure consistent CG implementation.

Required profile

• Extensive experience in corporate governance, risk management or ESG within the financial sector.
• Strong understanding of international CG standards and best practices.
• Proven ability to work with senior management, boards of directors and investment officers.
• Excellent analytical and communication skills, with a focus on delivering actionable recommendations.

Required skills

• Knowledge of corporate governance frameworks and guidelines.
• Experience conducting governance assessments and developing compliance tools.
• Familiarity with ESG integration in investment processes.
